Terms of Service & Subscription Agreement

Welcome to The Ironclad Pipeline. Please read this Terms of Service and Subscription Agreement (“Agreement”) carefully before accessing or using our services. This Agreement constitutes a legally binding contract between DigiCo LLC (doing business as “The Ironclad Pipeline”, collectively referred to as “Company,” “we,” “us,” or “our”) and the business entity or individual subscribing to our platform (“Tenant,” “you,” or “your”).

By creating an account, completing a transaction via our secure Stripe gateway, or using our multi-tenant website configurations, pre-configured templates, or booking engine software (collectively, the “Platform”), you agree to be bound by these terms. If you do not agree to these terms, you may not access or use the Platform.

1. The Platform & Subscription Model

Service Description: The Ironclad Pipeline provides a productized, multi-tenant Vertical Website-as-a-Service (WaaS) utility platform that deploys specialized, high-performance website layouts and automated lead-routing pipelines engineered for trade contractors.

Commercial Framework: The Platform operates strictly on a tiered subscription paywall framework managed via Stripe. No platform configuration, setup, or deployment will execute until a subscription payment is cleared. There are absolutely zero free tiers or free-value options provided on this Platform.

Subscription Tiers: Subscriptions are categorized into distinct tiers (including “Field Ops Core,” “Fleet & Fast-Track Cashout,” and “Enterprise Fleet Pass”), each dictating your specific access runtime, pricing structure, and management terms as outlined in your selected checkout terminal.

Operational Lock-In & Cancellation: In the event of subscription cancellation, non-payment, or account termination, your customer-facing site will drop, real-time calendar syncing will break, and your automated lead dispatching channels will instantly shut down.

2. "As-Is" Disclaimer & Limitation of Warranties

Service Availability: Tenant acknowledges that the Platform is a hosted software service delivered on an ongoing basis, and that Company may update, modify, or enhance the Platform’s features and underlying infrastructure from time to time in the ordinary course of business.

Disclaimer of Warranties: The Platform is provided strictly on an “AS-IS” and “AS-AVAILABLE” basis. To the maximum extent permitted by applicable law, Company explicitly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, uptime, security, or non-infringement.

Interrupted Runtime: We do not warrant that the operation of the Platform, its Next.js middleware, host intercepts, serverless API routes, or third-party communication webhooks will be uninterrupted, error-free, secure, or completely free of technical bugs.

3. Limitation of Liability & Revenue Disclaimer

Software Utility Boundaries: You explicitly acknowledge that The Ironclad Pipeline is a software utility designed to facilitate automated communication routing between end-consumers (homeowners) and your business. We do not provide dispatch, mechanical services, or physical trade fulfillment.

Total Revenue Exclusions: Under no circumstances shall DigiCo LLC, its subsidiaries, or its developers be liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, any loss of business revenue, lost profits, missed emergency service calls, broken service appointments, or operational chaos resulting from your use of or inability to use the Platform.

Carrier & API Routing Failures: Company relies on third-party network providers, edge caching networks, and telecommunications APIs (including Supabase and Twilio) to process and route text messages (SMS) and automated voice calls. Company holds zero liability for data latency, carrier-level SMS blocking, routing delays, or failure of serverless functions to trigger notifications to your technicians’ mobile lines.

SMS Consent & Opt-Out: By submitting a service request or otherwise providing a phone number through the Platform, an end-consumer consents to receive text messages related to that request (including scheduling, dispatch, and invoice notifications) at the number provided. Message and data rates may apply, and message frequency varies by request. Consumers may reply STOP at any time to opt out of further messages, or HELP for assistance. Consent to receive texts is not a condition of purchasing any service from your business.

4. Data Isolation & Acceptable Use Policy

Row-Level Security (RLS) Enforcement: Company implements strict backend database Row-Level Security (RLS) and cryptographic isolation protocols via our centralized database arrays to ensure that your corporate data and customer leads remain entirely isolated from other tenants.

Tenant Security Responsibilities: You are solely responsible for maintaining the confidentiality of any access tokens, authenticated sessions, or administrative parameters linked to your assigned web layout. You agree to notify us immediately of any unauthorized use of your account.

Prohibited Content: Tenants are prohibited from using the Platform, its embedded containers, or custom text boxes to collect, store, or transmit sensitive financial credentials (outside of our integrated, secure Stripe endpoints), medical data, or any material that violates federal or state telecommunications laws.

5. Governing Law & Amendments

This Agreement shall be governed by, interpreted, and enforced in accordance with the laws of the State of Illinois, without regard to conflict of law principles. Any legal action arising hereunder shall be filed exclusively in the state or federal courts located in Illinois.

We reserve the right to modify these terms at any time. Your continued use of the Platform following any modifications constitutes your binding acceptance of the updated terms.
